SHOPPY – Terms and Conditions of Use

Welcome to SHOPPY, a platform connecting buyers, sellers and businesses in Togo.

By using our mobile application or website (collectively, the "Platform"), you agree to these Terms and Conditions of Use ("Terms").

If you do not agree to these terms, please do not use the Platform.

1. Acceptance of Terms

By accessing SHOPPY, you acknowledge that you have read, understood and accepted these Terms and our Privacy Policy.

These Terms apply to all users — individuals, vendors and business partners.

2. Definitions

For the purposes of this Agreement, the following terms and expressions, when used with an initial capital letter, have the meanings set forth below:

2.1. “Contract” means the set of legal documents binding you to SHOPPY and forming an indivisible whole.  

2.2. “SHOPPY” refers to the platform operator.  

2.3. “Platform” means the virtual space enabling Users to access the User Application and Other SHOPPY Applications.  

2.4. “User” means any person accessing the SHOPPY Platform.  

2.5. “Application User” means the SHOPPY software used to access SHOPPY Services.  

2.6. “User Account” means each user’s personal access to the Application allowing them to manage their use of the Service.  

3. Purpose and nature of the service

The SHOPPY platform provides a technological infrastructure enabling advertisers to distribute promotional content.

It consists of:

-          an automated digital service,

-          a hosting service as defined by digital law,

-          an advertising SaaS solution.

It does not constitute:

-          a marketplace,

-          a contractual intermediary,

-          a sales agent,

-          a custodian,

-          a payment operator.

SHOPPY's role is limited to facilitating connections.

Advertisers and users operating on the platform are solely responsible for the proper execution of services and the quality of their products. When you request a service or product, you enter into a direct contract with the advertiser; SHOPPY is not, nor does it become, a party to this contract.

3. Registration on the Platform 

Creating a User Account is free of charge.

The User guarantees that all information concerning their identity and capacity provided to SHOPPY in the registration form on the Platform is true, accurate, and complete. They undertake to keep this data up to date.

If a User provides false, inaccurate or incomplete information, or if SHOPPY considers that there are reasonable grounds to doubt the truthfulness, accuracy or integrity of such information, SHOPPY may refuse that User access to the Platform.

Access to the Service requires the User to register on the Application by completing the designated form. The User must provide all information marked as mandatory. Any incomplete registration will not be validated.

When registering on the Platform, the User must choose a Username and a password. The Username and password are strictly personal and non-transferable. The password must remain confidential and secure.

The user agrees not to disclose their account details and not to allow access to them to any third party. The user is solely responsible for any use of their data, any services requested from a third party on the Platform, or any other action carried out under their username and/or password.

Creating multiple accounts to circumvent restrictions is prohibited.

4. Acceptance & Enforceability

All registrations imply full acceptance of these general terms and conditions of use (GTC) and Privacy Policy.

Acceptance is formalized by a time-stamped electronic validation mechanism which is kept as proof.

5. Use of the Platform

The advertiser guarantees the legality of its activities, compliance with industry standards, the absence of misleading advertising, respect for competition law, compliance with data protection rules and tax compliance.

He alone assumes all administrative, civil or criminal responsibility arising from his products and publications.

SHOPPY reserves the right to modify or delete any non-compliant advertisement.

6. Advertising Services

SHOPPY offers paid features for promotion (homepage banners, sponsored ads).

Payments can be made via TMoney, Flooz or Visa card.

Once payment is confirmed, the service is activated immediately.

7. Intellectual Property

All elements of SHOPPY (logo, content, design) are protected by copyright.

Any unauthorized reproduction is prohibited.

8. Confidentiality 

You will consider the following information (hereinafter referred to as Confidential Information) as confidential and may not use it without the prior consent of SHOPPY:

You guarantee not to use the Confidential Information for any purpose other than your use of the Service.

However, the following do not constitute Confidential Information:

This confidentiality obligation will continue for two years after the termination of this contract.

9. Protection of personal data 

When you use the Service, we may ask you to provide us with your personal data.

The term “personal data” means any information relating to an identified or identifiable natural person, directly or indirectly, by reference to an identification number or to one or more factors specific to his or her physical, physiological, genetic, mental, cultural, social or economic identity.  

These include your: name, surname, pseudonym, photograph, postal and email addresses, telephone numbers, date of birth.

When we collect your personal data, we will inform you whether certain data fields are mandatory or optional. We will also explain the potential consequences of failing to provide the requested information.

Your personal data is collected with your consent, in accordance with applicable legislation, to fulfill one or more of the following purposes:

We may disclose your personal data to our partners.

You have the option to modify your personal data by sending the updated information to our support service via the Application.

The changes will be recorded by the support service within an average of ….business days.

We retain your personal data for the duration of your use of the Service. However, we may retain it even if you decide to stop using the Service, particularly to comply with applicable law, defend our interests, or assert our rights. We will not retain it longer than necessary and will then securely destroy it.

You may receive advertising messages from SHOPPY and its partners via the Application.

10. Warning 

The service is provided "as is" and "as available." SHOPPY disclaims all representations and warranties, not expressly stated, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and makes no representations or warranties as to the reliability, timeliness, quality, suitability, or availability of the service or product, or as to the uninterrupted or error-free operation of the service. You agree that the risks arising from your use of the service are solely yours, to the extent permitted by law. SHOPPY makes no representations or warranties regarding the absence of viruses or other malicious components in the service.

SHOPPY is not liable in cases of force majeure, internet outages or disruptions, or telecommunications infrastructure failures beyond its control that may lead to interruptions in platform accessibility. SHOPPY may, temporarily and taking into account the legitimate interests of users (for example, by providing prior notification), limit the availability of the platform or certain platform features if necessary, to preserve the security or integrity of our servers, or to perform maintenance to ensure or improve the platform's operation.

11. Compensation 

To the extent permitted by applicable law, you agree to hold SHOPPY and its officers, employees, agents harmless from and against any and all claims, demands, losses, liabilities and expenses (including, without limitation, reasonable attorneys' fees) arising out of or relating to:
(i) your use of the Service;
(ii) your failure to perform or breach of any of these Terms or the Community Guidelines;
(iii) your violation of any law, regulation or third-party rights.

12. Limitation of contractual liability 

Neither SHOPPY nor its officers, employees or agents shall be liable for any indirect, special, incidental, economic or consequential damages attributable to your use of or inability to use the Application, or to the use of or inability to use the Application by any other person claiming to be affiliated with you or acting through you, nor for any loss or damage caused or alleged to be caused, directly or indirectly, by the Application, regardless of the nature of the damage, including, without limitation: loss of or interruption of business, loss of anticipated profits, lost profits, costs related to delays, damages related to or attributable to the loss or alteration of data, documents or information, obligations to third parties for any reason whatsoever, or any other incidental, special, punitive or consequential damages resulting from the use of the Application, even if SHOPPY knew or had been advised of the possibility of such obligations, losses or damages.

13. Interactions between users/third parties 

SHOPPY is not responsible for the online or offline behavior of any user of the platform. The user is solely responsible for their interactions with other users and/or third parties.

14. Notices

You can exchange information with SHOPPY via the Application, by phone, by email or any means that leaves a written record.

15. Termination 

This Agreement shall remain valid until its termination in accordance with the terms below:

16.1. On your initiative 

You may terminate the Contract at any time and without cause, subject to thirty (30) days' written notice given on the Application or by any means leaving a written record.

16.2. The SHOPPY initiative 

SHOPPY may terminate this Agreement without notice and block your access to the Platform if:

(i) you have committed a material breach of your obligations under these Terms, the Community Charter,
(ii) you have violated applicable laws and regulations or the rights of third parties,
(iii) such action is necessary to protect the safety or property of SHOPPY or third parties.

SHOPPY may terminate this Agreement by sending you written notification on the Application, subject to a notice period of thirty (30) days, if:

(i) you have repeatedly received poor ratings or negative comments on the quality of your products,
(ii) SHOPPY receives complaints about your services or behavior which are found after investigation to be true.

17. General Provisions 

In the event that any provision of the Contract is declared null, illegal or unenforceable by any competent jurisdiction or authority, that provision shall be deemed, to the extent necessary, not to form part of the Contract, without affecting the validity of the other provisions of the Contract.

SHOPPY's failure to enforce any of the obligations under this Agreement shall not be construed as a waiver of that obligation in the future.

18. Applicable Law and Jurisdiction 

Any dispute arising from the execution or interpretation of this Contract shall be settled amicably.

In the absence of an agreement, the dispute will be settled according to Togolese law and submitted to the jurisdiction of the courts and tribunals of the Togolese Republic, except for territorial or material jurisdiction attributed to the jurisdiction of the place of performance of the service by operation of law.
